Code of Conduct

Klaveness’ vision is to improve the nature of shipping and our ambition is to contribute to developing the standard for compliance in our industry.    Our Code of Conduct defines our core legal and ethical standards and applies to all Klaveness directors, officers and employees, both on shore and on board our vessels.   The code provides a framework for Klaveness’ governance, and defines the most important principles and ethical norms that form the basis for how we create value in Klaveness and conduct our business.   These principles and values are implemented in our governance documents.


Counterparty Code of Conduct

Our Counterparty Code of Conduct defines the core legal and ethical standards we expect from our subcontractors, contractual counterparties and others we do business with.   The Code applies to all our contractual relationships through standard documents and clauses.


Reporting of concerns (whistleblowing)

Klaveness Combination Carriers promotes a culture of openness and transparency. This is important for both the overall work environment and the well-being of the individual employee. Moreover, it is a key to optimal business operations. We therefore encourage whistleblowing regarding blameworthy activities or circumstances within our business.

Employees and others who have reason to believe that there are blameworthy activities or circumstances (e.g. breach of applicable legislation) within our business have the right to and are encouraged to whistleblow. The same applies if they have reason to believe that there is a violation of our Code of Conduct.

Employees who give notification in accordance with Section 2-4 of the Norwegian Working Environment Act and Klaveness Guidelines for Whistleblowing shall be protected against any unfavorable treatment as a reaction to the whistleblowing (“retaliation”).

You can choose to be anonymous. In such case you will automatically be given a username and password so that you can log in to see the status of your case and securely communicate with the case handler.  At any stage during the case handling you may also choose to reveal your identity.


Transparency Act

Klaveness Combination Carriers ASA strives to protect and enhance shareholder equity through openness, integrity and equal shareholder treatment, and sound corporate governance is a key element in the basis of the KCC strategy.  Please find the statement on Corporate Governance in the Annual Report 2022, pages 10-12.

Klaveness Combination Carriers ASA is a Norwegian public limited liability company listed on Oslo Stock Exchange. The company has one class of shares.

The total number of outstanding shares is 60,458,231 whereof KCC owns a total of 26,578 shares, corresponding to 0.04% of the total number of shares.


Articles of Association

The Norwegian Transparency Act (the “Act”) applies to Klaveness Combination Carriers ASA (KCC) and its subsidiaries KCC Shipowning AS and KCC Chartering AS. The Act promotes enterprises' respect for fundamental human rights and decent working conditions in connection with the production of goods and the provision of services and ensure the general public access to information regarding how enterprises address adverse impacts on fundamental human rights and decent working conditions.   Please see link below for the Transparency Act report published in 2023.
